End User License Agreement

Effective Date: 16/06/2025

This End User License Agreement ("Agreement") is a legal agreement between you and Gooday Technologies Pty Ltd ("Gooday", "we", "us", or "our") governing your use of the Gooday mobile application, website, and associated services ("App"). By downloading, accessing, or using the App, you agree to be bound by the terms of this Agreement. If you do not agree to this Agreement, you may not use the app or overall software.

1. LICENSE

Gooday grants you a limited, non-exclusive, non-transferable, non-sublicensable license to use the App on any device that you own or control, solely for your personal or business use, subject to the terms of this Agreement.

2. RESTRICTIONS

You may not:

  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App;

  • Modify, adapt, or create derivative works of the App;

  • Rent, lease, lend, sell, sublicense, or otherwise redistribute the App;

  • Use the App to engage in any unlawful, fraudulent, or malicious activity;

  • Use the App in a way that could harm or interfere with Gooday’s services, users, or partners;

  • Circumvent or attempt to bypass any security or authentication measure

3. ACCOUNT AND SUBSCRIPTIONS

To access certain features, you may be required to create an account. You agree to provide accurate and complete information, keep your login credentials secure, and notify us immediately of any unauthorized use.

If you purchase a subscription or pre-paid feature, your payment is processed securely through our designated payment provider. Subscription terms, billing frequency, cancellation, and refund policies are detailed within the App and at https://www.gooday.com.au/terms-and-conditions.

4. BOOKINGS AND BUSINESS INTERACTIONS

Gooday enables users to discover, schedule, and pre-pay for services offered by third-party businesses. Gooday does not provide these services and is not liable for the performance, quality, or outcomes of any third-party booking. Businesses are solely responsible for their own services, availability, and cancellation policies.

5. INTELLECTUAL PROPERTY

All content, trademarks, branding, software, and intellectual property in and on the App are owned or licensed by Gooday and protected by applicable laws. This Agreement does not grant you any rights to use Gooday’s intellectual property except as explicitly stated.

6. DATA & PRIVACY

Your use of the App is subject to our Privacy Policy. By using the App, you consent to the collection and use of your data in accordance with that policy, including syncing your calendar, recommending bookings, and enabling referrals.

7. TERMINATION

This Agreement is effective until terminated by you or Gooday. Your rights under this Agreement will terminate automatically if you fail to comply with any terms. Upon termination, you must stop all use of the App and delete all copies.

8. DISCLAIMER OF WARRANTIES

To the maximum extent permitted by law, the App is provided “as is” and “as available” without warranties of any kind. Gooday disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

9. LIMITATION OF LIABILITY

To the extent not prohibited by law, Gooday shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of or inability to use the App. In jurisdictions where limitations are not allowed, liability will be limited to the maximum extent permitted by law.

10. GOVERNING LAW

This Agreement is governed by the laws of New South Wales, Australia, without regard to its conflict of law principles. You agree to submit to the jurisdiction of the courts located in New South Wales.

11. CHANGES TO THIS AGREEMENT

Gooday may update this Agreement from time to time. We will notify you of material changes through the App or via email. Continued use of the App after such notice constitutes your acceptance of the updated terms.
